Common use of Adjustments to Exchange Ratios Clause in Contracts

Adjustments to Exchange Ratios. The Common Exchange Ratio and Preferred Exchange Ratio shall be adjusted to reflect fully the effect of any reclassification, stock split, reverse split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Parent Series A Preferred Stock or Company Common Stock or Company Preferred Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Parent Series A Preferred Stock or Company Common Stock or Company Preferred Stock occurring (or for which a record date is established) after the date hereof and prior to the Effective Time.

The Company Common Stock Exchange Ratio Ratio, the Series A1 Preferred Stock Exchange Ratio, the Series A2 Preferred Stock Exchange Ratio, the Series B Preferred Stock Exchange Ratio, and the Series C Preferred Stock Exchange Ratio shall be adjusted to reflect fully the effect of any reclassification, stock split, reverse split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Parent Series A Preferred Stock or Company Common Stock or Company Preferred Capital Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Parent Series A Preferred Stock or Company Common Stock or Company Preferred Capital Stock occurring (or for which a record date is established) after the date hereof and prior to the Effective Time.

The Common Series A Preferred Exchange Ratio, Series B Preferred Exchange Ratio, Series C Preferred Exchange Ratio and Preferred Common Exchange Ratio shall be adjusted to reflect fully the effect of any reclassification, stock split, reverse split, stock dividend (including any dividend or distribution without consideration of securities convertible into Parent Common Stock or Parent Series A Preferred Stock or Company Common Stock or Company Preferred Stockstock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Parent Series A Stock, Company Preferred Stock or Company Common Stock Stock, as appropriate, occurring or Company Preferred Stock occurring (or for which with a record date is established) after the date hereof and prior to the Effective Time.
