Common use of Adjustments to Exchange Ratios Clause in Contracts

Adjustments to Exchange Ratios. The Preferred Exchange Ratio and the Common Exchange Ratio shall each be adjusted to reflect fully the effect of any stock split, reverse split, stock dividend (including any dividend or distribution of securities convertible into NetRatings Common Stock, Company Class A Preferred Stock or Company Common Stock), reorganization, recapitalization or other like change with respect to NetRatings Common Stock, Company Class A Preferred Stock or Company Common Stock occurring after the date hereof and on or prior to the Effective Time or, with respect to the NetRatings Common Stock, after the Effective Time if the record date with respect thereto is set after the date hereof and prior to the Effective Time.
