Common use of Adjustments to Parent Common Stock Clause in Contracts

Adjustments to Parent Common Stock. The number of shares of Parent Common Stock issuable hereunder shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Company Capital Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Company Capital Stock occurring after the date hereof.

Adjustments to Parent Common Stock. The number of shares of ---------------------------------- Parent Common Stock issuable hereunder shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Company Capital Common Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Company Capital Common Stock occurring after the date hereof.

The number of shares of Parent Common Stock issuable hereunder upon the exercise of Company Options assumed by Parent pursuant to Section 1.6(c), and the exercise price of such assumed Company Options, shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Company Capital Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Company Capital Stock occurring after the date hereof.

Adjustments to Parent Common Stock. The number of shares of Parent Common Stock issuable hereunder in Section 2.3(a) shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Company Seller Capital Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Company Capital Stock occurring after the date hereofhereof and prior to the Closing.

The number of shares of Parent Common Stock issuable hereunder pursuant to Section 1.6(a) hereof shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Company Capital Stock), reorganization, recapitalization or the other like change with respect to Parent Common Stock or Company Capital Stock occurring after the date hereof.

The number of shares of Parent Common Stock issuable hereunder in exchange for shares of Company Capital Stock and upon the exercise of Company Options assumed by Parent pursuant to Section 1.6 shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Company Capital Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Company Capital Stock occurring after the date hereofhereof and prior to the Effective Time.

The number of shares of Parent Common Stock issuable hereunder upon the conversion of Company Capital Stock pursuant to Section 1.6(b) shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend, dividend or distribution of securities convertible into Parent Common Stock or Company Capital Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Company Capital Stock occurring after the date hereofhereof and prior to the Effective Time.
