Adjustments to Purchase Price. Upon the final determination of the Purchase Price pursuant to Article 2 of the Purchase Agreement, the Seller and the Purchaser shall give a joint written notice to the Escrow Agent indicating whether and to what extent the Escrow Account is to be disbursed to the Purchaser and on receipt of such joint instructions, the Escrow Agent shall disburse the Escrow Account in accordance with such instructions. The Seller and the Purchaser agree to cause the Escrow Account to be disbursed so as to give effect to the final determination of the Purchase Price pursuant to Article 2 of the Purchase Agreement.
