Adjustments to Your Options. If there is a Stock dividend, Stock split, recapitalization (including payment of an extraordinary dividend), merger, consolidation, combination, spin-off, distribution of assets to shareholders, exchange of shares or other similar corporate change affecting the Stock, the Committee will appropriately adjust the number of shares of Stock underlying your Option and any other factors, limits or terms affecting your Option. Notwithstanding the foregoing, any adjustment will comply with Section 409A of the Code to the extent applicable.
