Common use of Administration and Reserves Clause in Contracts

Administration and Reserves. Notwithstanding the provisions of Article IV hereof, from and after the Distribution Date: (a) Xxxxxx shall be responsible for (1) Insurance Administration with respect to the Xxxxxx Policies and (2) Claims Administration with respect to any Liabilities of Xxxxxx; provided, however, that the retention of ----------------- the Xxxxxx Policies by Xxxxxx is in no way intended to limit, inhibit or preclude any right to insurance coverage for any Insured Claim of a named insured under the Xxxxxx Policies; (b) Ventiv shall be responsible for (1) Insurance Administration with respect to the Healthcare Services Policies, and (2) Claims Administration with respect to any Liabilities of Ventiv; provided, --------- however, that the retention of the Healthcare Services Policies by Ventiv -------- is in no way intended to limit, inhibit or preclude any right to insurance coverage for any Insured Claim of a named insured under the Healthcare Services Policies; (c) Xxxxxx shall be entitled to reserves established by any member of either Group, or the benefit of reserves held by any insurance carrier, with respect to any Xxxxxx Liabilities; and (d) Ventiv shall be entitled to reserves established by any member of either Group, or the benefit of reserves held by any insurance carrier, with respect to any Healthcare Services Liabilities.
