Administration of Option. The Board or the Compensation Committee thereof shall have full discretion to interpret all provisions of this Option, and all decisions of the Board or such Committee regarding the Option shall be binding on all parties.
Administration of Option. The Option will be administered by the Compensation Committee (the “Committee”) of the Board of Directors of the Company (the “Board”). Any or all functions of the Committee specified in this Agreement may be exercised by the Board unless this Agreement specifically states otherwise. The Committee has the authority to adopt, alter and repeal such administrative rules, guidelines and practices governing the Option as it may, from time-to-time, deem advisable, to interpret the terms and provisions of this Agreement and to otherwise supervise the administration of the Option. The Committee may not take any action that would be treated as a “repricing” of the Option and may not amend or alter the Option without the written consent of Optionee. All decisions made by the Committee pursuant to this Agreement will be final, conclusive and binding on all persons, including the Company, its shareholders, members of the Board, Optionee and their respective estates and beneficiaries.
Administration of Option. (a) The Option shall be exercised in accordance with such administrative regulations as the Board shall from time to time reasonably adopt. (b) If at any time the Board shall determine, in its reasonable discretion, that the listing, registration or qualification of shares upon any national securities exchange or under any state or federal law, or the consent or approval of any governmental regulatory body, is necessary or desirable as a condition of, or in connection with the exercise of this option hereunder, the option may not be exercised in whole or in part unless and until such listing, registration, qualification, consent or approval shall have been effected or obtained, or otherwise provided for, free of any conditions not acceptable to the Board in the exercise of its reasonable judgment.
Administration of Option. Optionee represents that he or she is familiar with the terms and provisions hereof, and hereby accepts this Option subject to all terms and provisions of this Agreement. Optionee hereby agrees to accept as binding, conclusive and final all decisions or interpretations of the Board upon any questions arising under this Agreement.
Administration of Option. All questions arising under this Agreement and the Plan shall be decided by the Committee in its total and absolute discretion. It is expressly understood that the Committee is authorized to administer, construe, and make all determinations necessary or appropriate to the administration of this Agreement and the Plan; all such determinations shall be binding upon you and your successors.

Administration of Option. The Board of Directors of the Company (the “Board”) shall administer the Option. The Board shall have the authority, in its sole and absolute discretion, to construe and interpret the terms of this Stock Option Agreement, and to make all other determinations deemed necessary or advisable for administering this Stock Option Agreement. Each determination, interpretation and other action made or taken pursuant to the provisions of this Stock Option Agreement by the Board in good faith shall be final, conclusive and binding for all purposes and upon all persons, including, without limitation, the Grantee and the Company, and their respective heirs, executors, administrators, personal representatives and other successors in interest.
