Citibank, N.A. in its capacity as Administrative Agent (a) acknowledges and agrees that the Administrative Questionnaire attached hereto as Exhibit B is the form supplied by the Administrative Agent under the Interim Loan Agreement and (b) agrees to waive any and all processing and recordation fees payable under Section 10.07(b)(ii)(B) of the Interim Loan Agreement in connection with (i) the transactions contemplated hereby and (ii) any Affiliate Transfer.
