Administrative Services Agreement. The Company has entered into an agreement (the “Administrative Services Agreement”) with Crescendo Advisors II, LLC, an entity controlled by the Company’s Chief Executive Officer, pursuant to which such entity will make available to the Company general and administrative services including office space, utilities and secretarial support for the Company’s use for an aggregate of $12,500 per month, payable until the consummation by the Company of a Business Combination or the distribution of the Trust Account. The Company shall not enter into any other arrangement for the provision of such services with any Insiders or their affiliates that will require the Company to pay in excess of $12,500 per month for such services.
