Administrative Services and Advisory Services. The Company and an affiliate of the Sponsor have entered into an agreement (“Services Agreement”) substantially in the form annexed as an exhibit to the Registration Statement pursuant to which such affiliate of the Sponsor will make available to the Company general and administrative services including office space, utilities and secretarial support for the Company’s use for $20,000 per month, on the terms and subject to the conditions set forth in the Services Agreement. In addition, the Company and an affiliate of the Company’s Chief Financial Officer have entered into an agreement (“Advisory Agreement”) substantially in the form annexed as an exhibit to the Registration Statement pursuant to which such affiliate will provide certain advisory services to the Company for $20,000 per month, on the terms and subject to the conditions set forth in the Advisory Agreement.
