Common use of Administrator’s Acknowledgement Clause in Contracts

Administrator’s Acknowledgement. The Administrator acknowledges that it is a party to the Trust Indenture and is familiar with and understands the duties of the respective parties thereto, including those duties of the Trustee which are being delegated to the Administrator under this Agreement and the Trust Indenture, and the Administrator agrees to perform the Delegated Duties in accordance with any applicable terms, conditions and limitations, as contained in the Trust Indenture, in respect to the performance of such services, including, without limitation, exercising all of the voting rights attached to the ECT Units held by the Fund in accordance with the terms of the Trust Indenture.
