Common use of Administrator’s and Purchaser Agent’s Rights Clause in Contracts

Administrator’s and Purchaser Agent’s Rights. In the case of any event specified in Section 1.9(a), the Administrator shall promptly so notify the Purchasers and the Seller thereof, and in the case of an event specified in Section 1.9(b), such Purchaser shall promptly so notify the Administrator and endorse a certificate to such notice as to the specific circumstances of such notice, and the Administrator shall promptly send copies of such notice and certificate to the other Purchasers and the Seller. Upon such date as shall be specified in such notice (which shall not be earlier than the date such notice is given), the obligation of (i) the Purchasers, in the case of such notice given by the Administrator, or (ii) such Purchaser, in the case of such notice given by such Purchaser Agent, to allow the Seller to select, convert to or renew a Purchase accruing interest by reference to the Term SOFR Rate shall be suspended (to the extent of the affected Settlement Periods) until the Administrator shall have later notified the Seller, or such Purchaser shall have later notified the Administrator, of the Administrator’s or such Purchaser Agent’s, as the case may be, determination that the circumstances giving rise to such previous determination no longer exist. If at any time the Administrator makes a determination under Section 1.9(a), (A) if the Seller has delivered a Purchase Notice for an affected Purchase that has not yet been made, such Purchase Notice shall be deemed to request a Purchase accruing Discount at the Base Rate, (B) any outstanding affected Capital shall be deemed to have been converted into Capital accruing Discount at the Base Rate at the end of the applicable Settlement Period.

If any Purchaser (or the Purchaser Agent on its behalf) notifies the Administrator of a determination under Section 1.23(b) above, the Seller shall, subject to the Seller’s indemnification obligations under Section 3.1, as to any Purchase of the Purchaser to which Daily 1M SOFR or the Term SOFR Rate applies, on the date specified in such notice either convert such Purchase to a Base Rate Capital or prepay such Purchase. Absent due notice from the Seller of conversion or prepayment, such Purchase shall automatically be converted to a Base Rate Capital upon such specified date.

If at any time the Administrator makes a determination under Section 1.9(a1.13(a), (A) if the Seller has delivered a Purchase Notice for an affected Purchase that has not yet been made, such Purchase Notice shall be deemed to request a Purchase accruing Discount (1) at a rate based on the Adjusted Daily Simple SOFR, so long as the Adjusted Daily Simple SOFR is not also the subject of Section 1.13(a) or (2) at the Base Rate, if the Adjusted Daily Simple SOFR is also the subject of Section 1.13(a) or (b) above, and (B) any outstanding affected Capital shall be deemed to have been converted into Capital accruing Discount (1) at a rate based on the Adjusted Daily Simple SOFR, so long as the Adjusted Daily Simple SOFR is not also the subject of Section 1.13(a) or (2) or the Base Rate Rate, if the Adjusted Daily Simple SOFR is also the subject of Section 1.13(a) or (b) above, at the end of the applicable Settlement Period.
