Admission of a Successor General Partner. A Person shall be admitted as a Successor General Partner if and only if (a) the Person is the transferee of all of the General Partner's General Partnership Interest in a transfer permitted under the Securityholders Agreement or (b) the Person is elected to be a Successor General Partner in the manner described in Section 12.3 or 13.2.
