Common use of Admission of Successor General Partner Clause in Contracts

Admission of Successor General Partner. A successor to all of the General Partner’s General Partner Interest pursuant to Section 11.2 hereof who is proposed to be admitted as a successor General Partner shall be admitted to the Partnership as the General Partner, effective immediately prior to such Transfer. Any such successor shall carry on the business of the Partnership without dissolution. Admission of Successor General Partner. A successor to all of the General Partner’s General Partner Interest pursuant to Section 11.2 11 hereof who is proposed to be admitted as a successor General Partner shall be admitted to the Partnership as the General Partner, effective immediately prior to following such Transfer. Any transfer and the admission of such successor shall carry on the business General Partner as a general partner of the Partnership without dissolution. In each case, upon the admission shall be subject to the successor General Partner executing and delivering to the Partnership an acceptance of all satisfaction of the terms and conditions of this Agreement and such other documents or instruments as may be required to effect the admissionset forth in Section 12.1(b).

Admission of Successor General Partner. A successor General Partner approved pursuant to all Section 13.2 or the transferee of or successor to the General Partner’s General Partner Partnership Interest pursuant to Section 11.2 hereof who is proposed to be admitted as a successor General Partner shall be admitted to the Partnership as the General Partner, effective immediately prior to such Transferthe withdrawal or removal of the General Partner pursuant to Section 13.1 or the transfer pursuant to Section 11.2. Any such successor shall carry on the business of the Partnership without dissolution. In each case, the admission shall be subject to the successor General Partner executing and delivering to the Partnership an acceptance of all of the terms and conditions of this Agreement and such other documents or instruments as may be required to effect the admission.
