Common use of Admittance as Limited Partner Clause in Contracts

Admittance as Limited Partner. Upon acceptance by the General Partner of any Subscription Agreement, in whole or in part, all Partners will be deemed to consent to the admission of the subscriber as a Limited Partner, the General Partner will execute this Agreement on behalf of the subscriber and will cause the Register to be amended, and such other documents as may be required by the Act or under legislation similar to the Act in other provinces or the territories to be filed or amended, specifying the prescribed information and will cause the foregoing information in respect of the new Limited Partner to be included in the Partnership’s books and records. In connection with the foregoing, the Partnership may issue an interest in the Partnership to such subscriber.
