ADOPTION OF PLAN OF MERGER. NCS has taken all requisite corporate action prior to the date hereof for the purposes of adopting and approving this Agreement pursuant to Section 1701.78 of the Ohio General Corporation Law and Section 180.1101 et. seq. of the Wisconsin Business Corporation Law. Telecomm has taken all requisite corporate action prior to date of this Agreement necessary to adopt and approve this Agreement in accordance with Delaware Corporation Law. Upon execution of this Agreement, Telecomm and NCS shall cause a Certificate of Merger pursuant to this Agreement to be filed with the Secretary of State of Delaware, and shall cause to be filed such certificates, documents or instruments as are required to be filed in the States of Ohio and Wisconsin under the laws of that state in order to effectuate the transactions contemplated by this Agreement.

Simultaneous with the Closing of the Merger, The Bank of Ocilla, a wholly- owned Georgia state bank subsidiary of TARGET, will be merged with and into The Citizens Bank of Tifton ("Citizens Bank"), a wholly-owned Georgia state bank subsidiary of PURCHASER, and will thereafter be operated as a branch of Citizens Bank.
