Common use of ADR PROCEDURES; EQUITABLE RELIEF Clause in Contracts

ADR PROCEDURES; EQUITABLE RELIEF. The Parties acknowledge that from time to time during the Term of this Agreement a controversy, dispute or claim may arise relating to either Party's rights or obligations under this Agreement. The Parties agree that any controversy or claim (whether arising in contract, tort or otherwise) arising out of or relating in any way to this Agreement (including the interpretation or validity of this Agreement), shall be resolved exclusively by the alternative dispute resolution ("ADR") provisions set forth in this SECTION 6(i) and EXHIBIT B, the result of which shall be binding upon the Parties.
