Advance Notice of Shareholder Nominees for Director and Other Shareholder Proposals. (a) Annual Meetings of Shareholders. (1) Nominations of persons for election to the Board of Directors and the proposal of business to be considered by the Shareholders may be made at an annual meeting of Shareholders (i) pursuant to the Company’s notice of meeting by or at the direction of the Board of Directors or (ii) by any Shareholder of the Company (A) who holds, at the time of giving of notice provided for in this Section 9.7 and through and including the time of the annual meeting, a Certificate evidencing such Shareholder’s ownership of all Shares owned by such Shareholder, (B) who is entitled to vote at the meeting and present in person or by proxy at the meeting to answer questions concerning the nomination or business, and (C) who complies with the notice procedures set forth in this Section 9.7.
