Common use of Adverse Financial Condition - Other Than Borrower Clause in Contracts

Adverse Financial Condition - Other Than Borrower. Any material adverse change in the financial condition of any Guarantor prior to Conversion or Indemnitors from the condition shown on the financial statement(s) submitted to Bondowner Representative and relied upon by Bondowner Representative in making the Loan, the materiality and adverse effect of such change in financial condition to be reasonably determined by Bondowner Representative in accordance with its credit standards and underwriting practices in effect at the time of making such determination; or

Any material adverse change in the financial condition of any Borrower or Guarantor prior to Conversion or Indemnitors from the condition shown on the financial statement(s) submitted to Bondowner Representative Lender and relied upon by Bondowner Representative Lender in making the Loan, the materiality and adverse effect of such change in financial condition to be reasonably determined by Bondowner Representative Lender in accordance with its credit standards and underwriting practices in effect at the time of making such determination; or
