Advice of Changes; Government Filings. Prior to the Closing, each party shall confer on a regular and frequent basis with the other parties and promptly advise the others orally and in writing of any change or event having, or which, insofar as can reasonably be foreseen, could have, a material adverse effect on such party or on QV or which would cause or constitute a material breach of any of the representations, warranties or covenants of such party contained herein. Envision shall file all reports required by regulation to be filed by it with the SEC between the date of this Agreement and the Closing and shall deliver to the Stockholders copies of all such reports promptly after the same are filed. Except where prohibited by applicable statutes and regulations, each party shall promptly provide the other parties (or their counsel) with copies of all other filings made by such party with any state or federal government entity in connection with this Agreement or the transactions contemplated hereby.
