Advice of Changes; SEC Filings. The Company shall confer on a regular basis with Parent on operational matters. The Company shall promptly advise Parent orally and in writing of any change or event that has had, or could reasonably be expected to have, a Company Material Adverse Effect. The Company shall promptly provide to Parent (and its counsel) copies of all filings made by such party with the Commission or any other state or federal Governmental Entity in connection with this Agreement and the transactions contemplated hereby.
