Common use of After-Acquired Shares Clause in Contracts

After-Acquired Shares. Notwithstanding anything herein to the contrary, any Shares acquired by the Shareholder after the date hereof, whether by purchase or exchange, shall be subject to all of the representations, warranties, covenants and agreements of the Shareholder contained herein. In the event of a share dividend or distribution, or any change in the Shares by reason of any share dividend, split-up, recapitalization, combination, exchange of shares or the like, the term "Shares" shall be deemed to refer to and include the Shares as well as all such share dividends and distributions and any shares into which or for which any or all of the Shares may be changed or exchanged.
