After Completion the Purchaser shall. 13.2.1 perform all the Vendor’s obligations under each Franchise Agreement; and 13.2.2 indemnify the Vendor in respect of the Franchise Agreements including any acts or omissions (or alleged acts or omissions) before as well as after Completion.
