Agency and Other Fees. Borrower shall pay (a) to the Arranger, Xxxxx Fargo Bank, N.A. and their Affiliates such fees and other amounts as Borrower shall be required to pay to such Persons from time to time pursuant to any Fee Letter and (b) to Banks such fees as shall have been separately agreed upon in writing in the amounts and at the times so specified.
