Common use of Agency Prospectus Clause in Contracts

Agency Prospectus. (a) From time to time upon request by Xxxxxx Xxxxxxx in connection with any public or registered offering of securities by MSCI or any other Person of any MSCI Stock or any Tax-Free Spin-Off of MSCI, MSCI shall prepare and file with the SEC under the Securities Act a registration statement and an “agency prospectus” or other related document to the extent necessary or desirable to permit Xxxxxx Xxxxxxx to effect agency transactions by Xxxxxx Xxxxxxx & Co. Incorporated in MSCI Stock.
