Common use of Agent Appointed Attorney-in-Fact Clause in Contracts

Agent Appointed Attorney-in-Fact. The Pledgor hereby appoints the Agent the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 6), including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor representing any dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. The Pledgor hereby irrevocably appoints the Agent the as Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion reasonably exercised, to take any action and to execute any instrument which that the Agent may deem deems reasonably necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 6)Pledge Agreement, including, without limitation, to receive, indorse endorse and collect all instruments made payable to the Pledgor representing any dividend dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same, when and to the extent permitted by this Pledge Agreement.

Agent Appointed Attorney-in-Fact. The Pledgor hereby appoints the Agent the Pledgor's attorney-in-fact, with full authority in the place and stead of the such Pledgor and in the name of the such Pledgor or otherwise, from time to time in the Agent's discretion good-faith discretion, to take any action and to execute any instrument which that the Agent may deem reasonably believe necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 66 hereof), in a manner consistent with the terms hereof, including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor representing any dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. The Each Pledgor hereby appoints the Agent the as such Pledgor's attorney-in-fact, with full authority in the place and stead of the such Pledgor and in the name of the such Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable to accomplish further perfect and protect the purposes of this Agreement (subject to the rights of the Pledgor under Section 6)security interest granted hereby, including, without limitation, to receive, indorse endorse and collect all instruments made payable to the such Pledgor representing any dividend dividend, interest or principal payment or other distribution in respect of the Pledged Collateral Shares or any part thereof and to give full discharge for the same.

The Pledgor hereby appoints the Agent the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 6F), including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor representing any dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. The Pledgor hereby appoints the Agent the Pledgor's ’s attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time when an Event of Default exists in the Agent's ’s discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 6)Agreement, including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor representing any dividend dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. The Pledgor hereby irrevocably appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion otherwise to take any action and to execute any instrument which instrument, in each case after the occurrence and during the continuance of an Event of Default, that the Agent may deem reasonably necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 6)Pledge Agreement, including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor representing any dividend dividend, distribution or other distribution principal or interest payment in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. The Pledgor hereby appoints the Agent as the Pledgor's ’s attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's ’s discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 67), including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor representing any dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

The Pledgor hereby appoints the Agent the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time time, upon and during the continuance of an Event of Default, in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 6)Agreement, including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor representing any dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

The Pledgor Pledgors hereby appoints appoint the Agent the Pledgor's Pledgors' attorney-in-fact, with full authority in the place and stead of the Pledgor Pledgors and in the name of the Pledgor Pledgors or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor Pledgors under Section 6F), including, without limitation, to receive, indorse and collect all instruments made payable to the Pledgor Pledgors representing any dividend or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.

Agent Appointed Attorney-in-Fact. The Pledgor hereby appoints the Agent as the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Agent's discretion to take any action and to execute any instrument which the Agent may deem necessary or advisable desirable to accomplish the purposes of this Agreement (subject to the rights of the Pledgor under Section 6)Agreement, including, without limitation, to receive, indorse endorse and collect all instruments made payable to the Pledgor representing any dividend dividend, interest payment or other distribution in respect of the Pledged Collateral or any part thereof and to give full discharge for the same.
