Common use of Agent Counsel Legal Opinion Clause in Contracts

Agent Counsel Legal Opinion. (i) On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement and (ii) within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit F for which no waiver is applicable, the Manager shall have received the favorable opinion of DLA Piper LLP (US), counsel to the Manager, dated as of such date, in customary form and substance satisfactory to the Manager, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters. In rendering such opinion, DLA Piper LLP (US) may rely as to the organization and incorporation of the Transaction Entities and other matters governed by Maryland law upon the opinion of Xxxxxxx LLP referred to above.
