Common use of Agent Counsel Legal Opinion Clause in Contracts

Agent Counsel Legal Opinion. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E for which no waiver is applicable, KeyBanc shall have received the favorable opinion of Goxxxxx Xrocter LLP, counsel to KeyBanc, dated as of such date, in customary form and substance satisfactory to KeyBanc, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement and Agreement, within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E C for which no waiver is applicable, KeyBanc Capital Markets shall have received the favorable opinion of Goxxxxx Xrocter Xxxxxxxx & Xxxxxxxx LLP, counsel to KeyBancKeyBanc Capital Markets, dated as of such date, in customary form and substance satisfactory to KeyBancKeyBanc Capital Markets, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form forms attached hereto as Exhibit E E-1 and E-2 for which no waiver is applicable, KeyBanc shall have received the favorable opinion of Goxxxxx Xrocter Hunton & Wxxxxxxx LLP, counsel to KeyBanc, dated as of such date, in customary form and substance satisfactory to KeyBanc, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement Agreement, as soon as practicable and within in no event later than three (3) Trading Days of after each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E for which no waiver is applicable, KeyBanc RBC Capital Markets shall have received the favorable opinion a letter of Goxxxxx Xrocter LLPSidley Austin llp, counsel to KeyBancRBC Capital Markets, dated as of such datethe date that the opinion is required to be delivered, in customary form and substance satisfactory to KeyBancRBC Capital Markets, and the Company shall have furnished to such counsel such documents as they it reasonably request requests for the purpose of enabling them to pass upon such matters.
