Common use of Agent in Individual Capacity Clause in Contracts

Agent in Individual Capacity. Foothill and its Affiliates may make loans to, issue letters of credit for the account of, accept deposits from, acquire equity interests in, and generally engage in any kind of banking, trust, financial advisory, underwriting, or other business with Borrowers and their Subsidiaries and Affiliates and any other Person (other than the Lender Group) party to any Loan Documents as though Foothill were not Agent hereunder, and, in each case, without notice to or consent of the other members of the Lender Group. The other members of the Lender Group acknowledge that, pursuant to such activities, Foothill or its Affiliates may receive information regarding Borrowers or their Affiliates and any other Person (other than the Lender Group) party to any Loan Documents that is subject to confidentiality obligations in favor of Borrowers or such other Person and that prohibit the disclosure of such information to the Lenders, and the Lenders acknowledge that, in such circumstances (and in the absence of a waiver of such confidentiality obligations, which waiver Agent will use its reasonable best efforts to obtain), Agent shall not be under any obligation to provide such information to them. The terms "Lender" and "Lenders" include Foothill in its individual capacity.

The other members of the Lender Group acknowledge that, pursuant to such activities, Foothill Comerica or its Affiliates may receive information regarding Borrowers Borrower or their its Affiliates and any other Person (other than the Lender Group) party to any Loan Documents that is subject to confidentiality obligations in favor of Borrowers Borrower or such other Person and that prohibit the disclosure of such information to the Lenders, and the Lenders acknowledge that, in such circumstances (and in the absence of a waiver of such confidentiality obligations, which waiver Agent will use its reasonable best efforts to obtain), Agent shall not be under any obligation to provide such information to them. The other members of the Lender Group acknowledge that, pursuant to such activities, Foothill or its Affiliates may receive information regarding Borrowers Borrower or their its Affiliates and any other Person (other than the Lender Group) party to any Loan Transaction Documents that is subject to confidentiality obligations in favor of Borrowers Borrower or such other Person and that prohibit the disclosure of such information to the Lenders, and the Lenders acknowledge that, in such circumstances (and in the absence of a waiver of such confidentiality obligations, which waiver Agent will use its reasonable best efforts to obtain), Agent shall not be under any obligation to provide such information to them. The terms "Lender" and "Lenders" include Foothill in its individual capacity.

The terms "Lender" and "Lenders" include Foothill in its individual capacity.

Agent in Individual Capacity. Each of Foothill and its GE Capital and their Affiliates may make loans to, issue letters of credit for the account of, accept deposits from, acquire equity interests ininterests, in and generally engage in any kind of banking, trust, financial advisory, underwriting, or other business with Borrowers Borrower and their its Subsidiaries and Affiliates and any other Person (other than the Lender Group) party to any Loan Documents as though Foothill or GE Capital, as the case may be, were not Agent hereunderor a Co-Agent, andas the case may be, in each case, hereunder without notice to or consent of the other members of the Lender GroupLenders. The other members of the Lender Group Lenders acknowledge that, pursuant to such activities, Foothill or its and GE Capital and their Affiliates may receive information regarding Borrowers Borrower or their Affiliates and any other Person (other than the Lender Group) party to any Loan Documents that is subject to confidentiality obligations in favor of Borrowers Borrower or such other Person and that prohibit the disclosure of such information to the Lenders, and the Lenders acknowledge that, in such circumstances (and in the absence of a waiver of such confidentiality obligations, which waiver Agent Foothill and GE Capital will use its their reasonable best efforts to obtain), Agent neither Foothill nor GE Capital shall not be under any obligation to provide such information to them. The With respect to the Agent Loans and Agent Advances, Foothill shall have the same rights and powers under this Agreement as any other Lender and may exercise the same as though it were not Agent, and the terms "Lender" and "Lenders" include Foothill in its individual capacity.
