AGENT NOT A TRUSTEE. The Agent accepts duties and responsibilities under this Agreement, and the pooling securities and any share certificates or other evidence of these securities, solely as a custodian, bailee and agent. No trust is intended to be, or is or will be, created hereby and the Agent shall owe no duties hereunder as a trustee.
AGENT NOT A TRUSTEE. The Agent shall not be deemed to be a trustee for the benefit of any Lender (except to the minimum extent, if any, required by law) or the Borrower or to have any fiduciary duty other than as expressly provided in this Agreement. The Agent shall not in any respect be the agent of the Borrower by virtue of this Agreement.

Neither of the Agents shall be deemed to be the trustee for the benefit of any Lender (except, in the case of the Security Agent, to the minimum extent, if any, required by law to ensure that the Security secures the Lenders) or the Borrowers or to have any fiduciary duty other than as expressly provided in any Transaction Document. Neither of the Agents shall in any respect be the agent of any Borrower by virtue of any Transaction Document.
