Common use of Agent of Chargor Clause in Contracts

Agent of Chargor. Any Receiver shall be the agent of the relevant Chargor for all purposes unless and until the Chargor goes into liquidation after which time the Receiver shall act as principal and shall not become agent of the Secured Parties. Subject to any applicable law, the relevant Chargor alone shall be responsible for his contracts, engagements, acts, omissions, defaults and liabilities and for any payment of his remuneration. No Secured Party shall incur any liability by reason of the appointment of a Receiver under this Deed.

(a) Any Receiver shall be the agent of the relevant Chargor (which shall be solely liable for all purposes his acts, defaults and remuneration) unless and until the Chargor goes into liquidation bankruptcy or liquidation, after which time the any Receiver shall act as principal and shall not become the agent of the Security Agent or any other Secured PartiesParty. Subject to No Receiver shall at any applicable law, time act as agent for the relevant Chargor alone shall be responsible for his contracts, engagements, acts, omissions, defaults and liabilities and for any payment of his remunerationSecurity Agent. (b) No Secured Party shall incur any liability (either to the Chargor or to any other person) by reason of the appointment of a Receiver under this Deedor for any other reason.
