Agent’s Acceptance Sample Clauses
The Agent’s Acceptance clause defines the conditions under which an agent formally agrees to undertake the responsibilities and obligations assigned in an agreement. Typically, this clause requires the agent to provide written confirmation or another specified form of acknowledgment before the agreement becomes effective with respect to the agent. By ensuring that the agent explicitly consents to their role, this clause prevents misunderstandings and establishes a clear record of the agent’s commitment, thereby reducing the risk of disputes regarding the agent’s participation.
Agent’s Acceptance. Upon its receipt of an Assignment and Acceptance executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with any Note or Notes subject to such assignment, the Facility Agent shall, if such Assignment and Acceptance has been completed and is in substantially the form of Exhibit C hereto, (i) accept such Assignment and Acceptance, (ii) record the information contained therein in the Register and (iii) give prompt notice thereof to PMI.
Agent’s Acceptance. Upon its receipt of an Assignment and Acceptance executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with any Pro Rata Note or Notes subject to such assignment, JPMCB, as Administrative Agent, shall, if such Assignment and Acceptance has been completed and is in substantially the form of Exhibit C hereto, (i) accept such Assignment and Acceptance, (ii) record the information contained therein in the Register and (iii) give prompt notice thereof to Altria.

Upon its receipt of an Assignment and Assumption executed by an assigning Lender and an assignee, together with any Notes subject to such assignment, the assignee’s completed Administrative Questionnaire (unless the assignee shall already be a Lender hereunder) and, if applicable, the processing and recordation fee referred to in this Section, the Administrative Agent shall, if such Assignment and Assumption has been completed and is in substantially the form of Exhibit C hereto, (i) accept such Assignment and Assumption, (ii) record the information contained therein in the Register and (iii) give prompt notice thereof to Mondelēz International.

Agent’s Acceptance. Agent’s Acceptance. Agent accepts its designation and appointment as agent for Principal pursuant to the provisions of Section 4.1 above and shall act as agent for and on behalf of Principal in accordance with the terms hereof.
