Common use of Agent’s Acceptance Clause in Contracts

Agent’s Acceptance. Upon its receipt of an Assignment and Acceptance executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with any Note or Notes subject to such assignment, the Facility Agent shall, if such Assignment and Acceptance has been completed and is in substantially the form of Exhibit C hereto and if the Facility Agent has received all requested documentation and other information required by regulatory authorities under applicable “know your customer” and anti-money laundering rules and regulations, (i) accept such Assignment and Acceptance, (ii) record the information contained therein in the Register and (iii) give prompt notice thereof to PMI.

Upon its receipt of an Assignment and Acceptance executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with any Note or Notes subject to such assignment, the Facility Administrative Agent shall, if such Assignment and Acceptance has been completed and is in substantially the form of Exhibit C hereto hereto, and if subject to the Facility Agent has received all requested documentation and other information required by regulatory authorities under applicable requirements of the Patriot Act or any similar “know your customer” and anti-money laundering rules or other similar checks under all applicable laws and regulations, (i) accept such Assignment and Acceptance, (ii) record the information contained therein in the Register and (iii) give prompt notice thereof to PMI.
