c. In no circumstance may an agent or contractor of a ▇▇▇▇▇ or a SUIA directly access the SWIS Clearinghouse.
d. An Access ▇▇▇▇▇ may not disclose Wage Data obtained on behalf of a Non- Access ▇▇▇▇▇ to the Access ▇▇▇▇▇’▇ agent or contractor. Wage Data obtained on behalf of a Non-Access ▇▇▇▇▇ may only be disclosed to: (i) the Non-Access ▇▇▇▇▇ that originated the Request as provided in subparagraph D.1. above, or (ii) the agent or contractor of the Non-Access ▇▇▇▇▇ that originated the Request, provided that there is an agreement in place between the Non-Access ▇▇▇▇▇ and its agent or contractor as described in subparagraph D.2.e. below.
▇. ▇▇▇▇▇ and SUIA agents or contractors that have access to Wage Data obtained from the SWIS Clearinghouse or through any activities pursuant to this Agreement must have entered into an agreement with that ▇▇▇▇▇ or SUIA that satisfies the requirements of 20 CFR part 603.10, 20 USC 1232g and 34 CFR part 99, and that incorporates by reference the terms and conditions of this Agreement.
▇. ▇▇▇▇▇▇ and SUIAs must ensure that each staff member of any agent or contractor that interacts with or has access to data obtained through the SWIS Clearinghouse has reviewed, understands, and has signed the Acknowledgement of Confidentiality form set forth at Annex 2 of this Agreement.

Neither Party will retain or utilize any of the Specified Parties (or any of their then-current employees) as its agent, contractor or advisor for any purposes under Section 14.2 (Disclosure and Use). The foregoing does not limit Yahoo!’s ability to obtain Comparable Ads from any of such entities. Business Associate shall ensure that any agent or contractor that will have access to PHI or a Limited Data Set obtained from Covered Entity agrees to be bound by the same restrictions, terms and conditions that apply to Business Associate pursuant to the BAA. To the extent that Business Associate discloses PHI or a Limited Data Set to an agent or contractor, Business Associate (i) will obtain, prior to making any such disclosure, reasonable assurances from such third party that such PHI or Limited Data Set will be held confidential pursuant to the same restrictions, terms and conditions that apply to Business Associate under this BAA, (ii) will obtain reasonable assurance from such third party that the PHI or Limited Data Set will be disclosed by such third party only as required by law or for the purposes for which it was disclosed to such third party, and (iii) obtain an agreement from such third party to immediately notify Business Associate of any breach of confidentiality of the PHI or Limited Data Set, to the extent it has obtained knowledge of such breach.

Without being relieved of any of their respective obligations hereunder, St. ▇▇▇ Bauxite and its Affiliates shall have the right to exercise their respective rights and to perform their respective obligations under this Agreement through the use of such agents and contractors as they may designate.

The Servicer shall be responsible for directing and supervising all such third parties with the same degree of care and skill as would be used by a prudent person experienced in the business of managing and operating commercial timberlands.
Agents and Contractors. Delta shall ensure that any Delta agent or subcontractor to whom Delta discloses PHI agrees, in writing, to be bound by the same restrictions and conditions that apply to Delta through this Business Associate Appendix.

(a) Arc may appoint or engage any third party as its agent or contractor in relation to the exercise of any rights or the performance of any obligations under this Agreement as long as the third party complies with the requirements of this Agreement, including obtaining any Accreditation or other authorisation, approval, consent, permit or licence required by this Agreement.
(b) The appointment of a third party as agent or contractor in accordance with clause 20.2(a) does not operate to relieve Arc of any of its obligations or liabilities under this Agreement and Arc is liable to the other as if the acts and omissions of any agent or contractor it appoints or engages were its own acts or omissions.

Business Associate agrees to ensure that any of Business Associate’s agents, including any subcontractors, to whom it provides Protected Health Information received from, or created or received by Business Associate on behalf of HCBD, agrees to the same restrictions and conditions that apply through this Agreement to Business Associate with respect to such information by entering into a business associate agreement with each such agent, including any subcontractors. Business Associate also agrees to ensure that any Business Associate employee or agent, including any subcontractor to whom it provides Protected Health Information received from, or created or received by Business Associate on behalf of HCBD agrees to implement reasonable and appropriate safeguards to protect such Protected Health Information. Business Associate and HCBD agree that the Business Associate is not the agent of HCBD at any time under this Agreement.
