Common use of Agents and Subcontractors Clause in Contracts

Agents and Subcontractors. Supplier will ensure that all of its subcontractors and agents that create, receive, maintain or transmit PHI on behalf of the University or Supplier agree, in writing, to essentially the same restrictions, conditions and requirements with respect to the use and/or disclosure of PHI that apply to Supplier, and to implement reasonable and appropriate safeguards to protect such PHI, including monitoring subcontractor compliance.
