Common use of Agent’s Appointment as Attorney-in-Fact Clause in Contracts

Agent’s Appointment as Attorney-in-Fact. (a) The Pledgor hereby irrevocably constitutes and appoints the Agent and any officer or agent of the Agent, with full power of substitution, as its true and lawful attorney-in-fact with full irrevocable power and authority in the place and stead of the Pledgor and in the name of the Pledgor or in the Agent's own name, from time to time in the Agent's discretion, in the event that an Event of Default has occurred and is continuing, and to the extent permitted by law, to take any and all appropriate action and to execute any and all documents and instruments which may be necessary or reasonably desirable to accomplish the purposes of this Agreement, including, without limitation, any financing statements, endorsements, assignments or other instruments of transfer.

(a) The Each Pledgor hereby irrevocably constitutes and appoints the Administrative Agent and any officer or agent of the Administrative Agent, with full power of substitution, as its true and lawful attorney-in-fact with full irrevocable power and authority in the place and stead of the each Pledgor and in the name of the each Pledgor or in the Administrative Agent's ’s own name, from time to time in the Administrative Agent's ’s discretion, in for the event that an Event purpose of Default has occurred and is continuing, and to carrying out the extent permitted by lawterms of this Pledge Agreement, to take any and all appropriate action and to execute any and all documents and instruments which may be necessary or reasonably desirable to accomplish the purposes of this Pledge Agreement, including, without limitation, any financing statements, endorsements, assignments or other instruments of transfer.

(a) The Pledgor hereby irrevocably constitutes and appoints the Collateral Agent and any officer or agent of the Collateral Agent, with full power of substitution, as its true and lawful attorney-in-fact with full irrevocable power and authority in the place and stead of the Pledgor and in the name of the Pledgor or in the Collateral Agent's ’s own name, from time to time in the Collateral Agent's ’s discretion, in for the event that an Event purpose of Default has occurred and is continuing, and to carrying out the extent permitted by lawterms of this GP Pledge Agreement, to take any and all appropriate action and to execute any and all documents and instruments which may be necessary or reasonably desirable to accomplish the purposes of this GP Pledge Agreement, including, without limitation, any financing statements, endorsements, assignments or other instruments of transfer.

Agent’s Appointment as Attorney-in-Fact. (a) The Pledgor Pledgors hereby irrevocably constitutes constitute and appoints appoint the Agent and any officer or agent of the Agent, with full power of substitution, as its their true and lawful attorney-in-in- fact with full fully irrevocable power and authority in the place and stead of the Pledgor Pledgors and in the name of the Pledgor Pledgors or in the Agent's own name, from time to time after the occurrence and during the continuation of an Event of Default, in the Agent's discretion, in for the event that an Event purpose of Default has occurred and is continuing, and to carrying out the extent permitted by lawterms of this Agreement, to take any and all appropriate action and to execute any and all documents and instruments which may be necessary or reasonably desirable to accomplish the purposes of this Agreement, including, without limitation, any financing statements, endorsementsendorsement, assignments assignment or other instruments of transfer.
