Common use of Agent’s Own Account; Clients’ Account Clause in Contracts

Agent’s Own Account; Clients’ Account. The Company consents to the Agent trading, in compliance with applicable law, in the Common Shares for the Agent’s own account and for the account of its clients at the same time as sales of the Shares occur pursuant to this Agreement.

The Company consents to acknowledges that the Agent has informed the Company that the Agent may engage in trading, in compliance with applicable law, in the Common Shares for the Agent’s own account and for the account of its clients at the same time as sales of the Shares occur pursuant to this Agreement, provided that the Company shall not be deemed to have authorized or consented to any such purchases or sales by the Agent.

Agent’s Own Account; Clients’ Account. The Company consents to the Agent trading, in compliance with applicable law, in the Common Shares Stock for the Agent’s own account and for the account of its clients at the same time as sales of the Shares occur pursuant to this Agreement.

Agent’s Own Account; Clients’ Account. The Company consents to the Agent and the Forward Purchaser trading, in compliance with applicable law, in the Common Shares for the Agent’s or Forward Purchaser’s own account accounts and for the account accounts of its their clients at the same time as sales of the Shares or Forward Hedge Shares occur pursuant to this Agreement.
