Common use of Agents under Guaranty Clause in Contracts

Agents under Guaranty. Each Requisite Lender hereby further authorizes Administrative Agent, on behalf of and for the benefit of the Beneficiaries, to be the agent for and representative of Beneficiaries with respect to the Guaranty. Subject to Section 10.05, without further written consent or authorization from any Beneficiary, Administrative Agent may execute any documents or instruments necessary to release any Guarantor from the Guaranty pursuant to Section 7.12 or with respect to which Requisite Lenders (or such other Lenders as may be required to give such consent under Section 10.05) have otherwise consented.

Agents under Guaranty. Each Requisite Lender hereby further authorizes Administrative Agent, on behalf of and for the benefit of the BeneficiariesLenders, to be the agent for and representative of Beneficiaries the Lenders with respect to the Guaranty. Subject to Section 10.0510.5, without further written consent or authorization from any BeneficiaryLender, Administrative Agent may execute any documents or instruments necessary to release any Guarantor Guarantors from the Guaranty pursuant to Section 7.12 or with respect to which Requisite Lenders (or such other Lenders as may be required to give such consent under Section 10.0510.5) have otherwise consented.

Subject to Section 10.0510.6 (Amendments and Waivers), without further written consent or authorization from any Beneficiary, the Administrative Agent may execute any documents or instruments necessary to release any Subsidiary Guarantor from the Guaranty pursuant to Section 7.12 (Discharge of Guaranty Upon Sale of Guarantor) or with respect to which Requisite the Required Lenders (or such other Lenders as may be required to give such consent under Section 10.0510.6 (Amendments and Waivers)) have otherwise consented.
