Aggregate Consideration from Parent. The aggregate consideration to be delivered to the Partners by the Parent shall be the aggregate number of shares of Parent Common Stock, $0.001 par value per share, as set forth on an Exhibit B hereto for all of the MI LP Interests, which shall be allocated among the Partners in proportion to their Percentage Interest as set forth and provided on Exhibit B hereto (as applicable, the “Exchange Consideration”).
