AGGREGATE OFFERING LIMITATION Sample Clauses

The Aggregate Offering Limitation clause sets a maximum total amount that can be raised or offered under a particular agreement or securities offering. In practice, this means that regardless of the number of investors or rounds, the cumulative value of all securities sold cannot exceed the specified cap. For example, if the aggregate limit is $5 million, once that amount is reached, no further securities may be issued under the offering. This clause serves to ensure compliance with regulatory thresholds, manage risk, and provide clarity to both issuers and investors regarding the total size of the offering.
