Aggregation of Shares of Common Stock Clause Samples

The "Aggregation of Shares of Common Stock" clause defines how multiple holdings of common stock are treated as a single combined ownership for specific purposes under an agreement. In practice, this clause typically applies when an individual or entity holds shares through various accounts, affiliates, or related parties, and it stipulates that all such holdings are aggregated to determine rights or thresholds, such as voting power or eligibility for certain actions. Aggregation of Shares of Common Stock. If, after the date hereof, and subject to the provisions of Section 6.3 below, the number of outstanding shares of Common Stock is decreased by a consolidation, combination or reclassification of the Common Stock or other similar event, then, on the effective date thereof, the number of shares of Common Stock purchasable hereunder shall be decreased in proportion to such decrease in outstanding shares, and the Exercise Price shall be proportionately increased.
Aggregation of Shares of Common Stock. All shares of Common Stock held by a Majority Stockholder shall be aggregated together for purposes of determining the availability of any rights hereunder. As among the members of any Majority Stockholder, such Majority Stockholder may allocate the ability to exercise any rights under this Agreement in any manner that such Majority Stockholder sees fit.
