AGHC PROSPECTUS COMPLIANCE. The General Partner shall use its reasonable efforts, at Partnership expense, to cause the Partnership to comply with all applicable laws and regulations and to operate the business of the Partnership and the Investment in a manner that is reasonably consistent in all material respects with the description contained in the prospectus of American General Hospitality Corporation, a Maryland corporation ("AGHC") pursuant to which shares in AGHC were offered (the "AGHC Prospectus").
