AGREEMENT AUTHORIZED. The execution, delivery and performance of this Agreement are duly authorized and do not require the consent or approval of any governmental body or other regulatory authority; are not in contravention of or in conflict with any law or regulation or any term or provision of Borrower's articles of incorporation, by-laws, or Articles of Association, as the case may be, and this Agreement is the valid, binding and legally enforceable obligation of Borrower in accordance with its terms.
AGREEMENT AUTHORIZED. The execution, delivery and performance of this Agreement and the Loan Documents are duly authorized and do not require the consent or approval of any governmental body or other regulatory authority; are not in contravention of or in conflict with any law or regulation or any term or provision of Borrower's articles of incorporation, or similar document as the case may be, and this Agreement is the valid, binding and legally enforceable obligation of Borrower in accordance with its terms; subject only to bankruptcy, insolvency or similar laws affecting creditors rights generally.
AGREEMENT AUTHORIZED. The execution, delivery and performance by Borrower of this Agreement and each of the other Loan Documents: (a) have been duly authorized and do not require the consent or approval of any governmental body or other regulatory authority; and (b) shall not constitute a breach of any provision contained in Borrower's Articles of Incorporation or Bylaws.
AGREEMENT AUTHORIZED. Executive hereby represents and warrants -------------------- that he is free to enter into this Agreement and to render his services pursuant to this Agreement, that he holds no offices with any other entities, and that he is not subject to any obligation or restriction that would prevent him from discharging his duties under this Agreement, and agrees to indemnify and hold harmless the Company from and with respect to any liability, damages or costs, including attorneys' fees, arising out of any breach by Executive of this representation and warranty. The Company hereby represents and warrants that any required authorization of this Agreement by its Board of Directors has been obtained.
AGREEMENT AUTHORIZED. This Agreement has been duly authorized, executed and delivered by Buyer and all instruments and agreements required hereunder to be extended and delivered by Buyer or ONEOK at the Closing will be duly authorized, executed and delivered by Buyer or ONEOK and all requisite corporate action has been taken to authorize the execution hereof, the transactions contemplated hereby and all things necessary or desirable in order to accomplish the purchase of the Shares, and Buyer or ONEOK has all necessary authority under its charter, bylaws and other governing documents and otherwise has good right and lawful authority to consummate the same.
AGREEMENT AUTHORIZED. Executive hereby represents and warrants that he is free to enter into this Agreement and to render his services pursuant to this Agreement without breach of any contract or law, that he is not employed by, or hold any offices with any other entities, and that he is not subject to any obligation or restriction that would prevent him from discharging his duties under this Agreement, and agrees to indemnify and hold harmless Electro Rent from and with respect to any liability, damages or costs, including attorneys' fees, arising out of any breach by Executive of this representation and warranty. Electro Rent hereby represents and warrants that any required authorization of this Agreement by its Board has been obtained.
AGREEMENT AUTHORIZED. This Agreement has been duly authorized, executed and delivered by each Seller and all requisite corporate and partnership action has been taken to authorize the execution hereof, the transactions contemplated hereby and all things necessary or desirable in order to accomplish the sale of the Interests. 4.3
AGREEMENT AUTHORIZED. The Secretary of the Interior, in administering the Valley Forge National Historical Park, is authorized to enter into an agree- ment under appropriate terms and conditions with the Society to facilitate the planning, construction, and operation of the Valley Forge Museum of the American Revolution on Federal land within the boundary of Val- ley Forge National Historical Park. ‘‘(b) CONTENTS AND IMPLEMENTATION OF AGREEMENT.— An agreement entered into under subsection (a) shall— ‘‘(1) authorize the Society to develop and operate the museum pursuant to plans developed by the Sec- retary and to provide at the museum appropriate and necessary programs and services to visitors to Valley Forge National Historical Park related to the story of Valley Forge and the American Revolution;
AGREEMENT AUTHORIZED represents and warrants to the Department that this Agreement constitutes the legal, valid and binding agreement of , duly authorized by all requisite action, and enforceable against in accordance with its’ terms.
AGREEMENT AUTHORIZED. If the following conditions are met, the department and a custodian may enter into a mutual agreement in which the custodian retains custody of the child and the department agrees to provide services to the child.
