Agreement Covenants. Guarantor shall observe, perform and comply with all covenants expressly applicable to Guarantor set forth in Articles 6 and 10 of the Agreement, which by their terms Borrower is required to cause Guarantor to observe, perform and comply with, as if such covenants were set forth in full herein.

Agreement Covenants. The Seller will duly observe and perform each of its covenants set forth in the Trust Agreement, the Sale and Servicing Agreement and the Indenture.

In addition, TORO acknowledges and agrees that, under the Employment Agreement, he has and will be, until the one year anniversary of the Termination Date, bound by a noncompete provision and during such period, he is bound by a non-solicit provision. In regards to the noncompete provision, the parties to this agreement hereby mutually agree that the definition Competing Business as originally utilized in the Employment Agreement shall hereinafter be limited to the business of Kraft Projects Zrt. or its affiliates (“Competitor”). TORO understands that COMPANY retains the right to enforce its rights under the original noncompete provision as applicable to Competitor and all other remaining provisions of the Employment Agreement, including the non-solicit provision.
Agreement Covenants. Certain covenants contained in the Agreement are contingent on the Loan amount remaining unpaid. Since pursuant to this Amendment the Loan amount is being converted to Series AA Preferred Stock and the Remaining Debt, the Agreement is hereby amended such that the covenants contained in the Agreement shall survive as long as the Remaining Debt is unpaid and unsatisfied and the Series AA Preferred Stock remains outstanding or unsatisfied. Specifically, the first clause of Section 5.1 of the Agreement is hereby amended and restated to read: “So long as the Remaining Debt shall remain unpaid and unsatisfied and the Series AA Preferred Stock remains outstanding and unsatisfied, Borrower covenants and agrees as follows:"
Agreement Covenants. BECKWITH acknowledges and xxxxxx that under paragraph 10 of the Employment Agreement dated July 13, 2005 (the "Employment Agreement"), he has been and will be, for a period of two years, bound by a covenant against revealing IPEX's Confidential Information (as defined in the Employment Agreement). BECKWITH understands that XXXX xxtains the right to enforce its rights under these and other provisions of the Employment Agreement.
Agreement Covenants. County is the owner of certain property located at 0000 Xxxxxx Xxxxxxxxx, San Rafael, California, and described more completely on Exhibit 1 hereto (the “Property”). With respect to the Property, the County and the City of San Rafael, California (“City of San Xxxxxx”) have entered into a certain Agreement Between the County of Marin and the City of San Xxxxxx Regarding a Planned Health and Wellness Campus Near the Intersection of Xxxxxx Boulevard and Bellam Boulevard in the Canal Area of San Rafael California dated September 12, 2006 (the “San Xxxxxx Agreement”). The San Xxxxxx Agreement contains certain restrictive covenants regarding the use of the Property, and places certain obligations on the County as the owner of the Property (the “Use Restrictions and Obligations”), and it is intended that such Use Restrictions and Obligations are and become covenants running with the land as a burden on the Property for a certain term. By this instrument the County, as owner of the Property, does hereby declare that such Use Restrictions and Obligations are covenants running with the land as a burden on the Property for the term set forth below.
