AGREEMENT IN CONFIDENCE. This Agreement and its terms and the relationship between the Company and the Warrant Holder and its principals shall be kept confidential by the Warrant Holder and its affiliates and by Company and its affiliates and will not be disclosed by either of them except to the extent that as a matter of law it must be disclosed by either party in any document filed with any government agency or authority and available for public inspection or as may be required to be disclosed in connection with the Company's sale of its capital stock or assets or its merger, reorganization, consolidation or similar event.
