Agreement Made in California; Venue. This Agreement shall be deemed to have been executed in the City of Xxxxxxxx, County of Contra Costa. The formation, interpretation and performance of this Agreement shall be governed by the laws of the State of California, excluding its conflict of laws rules. The parties shall execute one original and one copy of this Agreement, both of which shall be deemed originals thereof.
