Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any agreement or other instrument to which the Buyer is a party or by which it is bound, the Certificate of Formation and the Partnership Agreement, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Buyer is bound, or any law, rule or regulation applicable to the Buyer which would have a material effect on the transactions contemplated hereby.

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby contemplated, and the fulfillment of the terms hereof hereof, will not result in a the breach of any of the terms term or provisions provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any agreement or other instrument of any description to which the Buyer such Seller is a party or by which it such Seller is bound, the Certificate of Formation and the Partnership Agreement, or any judgment, decree, order or award of any court, governmental body or arbitrator by which the Buyer is boundarbitrator, or any law, rule or regulation applicable to the Buyer which would have a material effect on the transactions contemplated herebysuch Seller.

The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any agreement or other instrument to which the Buyer is a party or by which it is bound, the Certificate Articles of Formation Incorporation and Bylaws of the Partnership AgreementBuyer, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Buyer is bound, or any law, rule or regulation applicable to the Buyer which would have a material effect on the transactions contemplated hereby.

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, or give any other party thereto a right to terminate, any agreement or other instrument to which the Buyer is a party or by which it is bound, the Certificate including its certificate of Formation formation and the Partnership Agreementpartnership agreement, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Buyer is bound, or any law, rule or regulation applicable to the Buyer which would have a material effect on the transactions contemplated herebyhereby or the ability of Buyer to pay the Purchase Price to the Sellers at the Closing.

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby provided for herein and the fulfillment of the terms hereof by Buyers, will not result in a the breach of any of the terms or and provisions of, or constitute a default under, or conflict with, or cause any agreement acceleration of any obligation of Buyers under, any agreement, indenture or other instrument to which the either Buyer is a party or by which it is bound, the Certificate of Formation and the Partnership Agreement, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Buyer is bound, or any applicable law, rule or regulation applicable to the Buyer which would have a material effect on the transactions contemplated herebyregulation.

The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby provided for herein and the fulfillment of the terms hereof by Buyer, will not result in a the breach of any of the terms or and provisions of, or constitute a default under, or conflict with, or cause any agreement acceleration of any obligation of Buyer under, any agreement, indenture or other instrument to which the Buyer is a party or by which it is bound, the Certificate of Formation and the Partnership Agreement, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Buyer is bound, or any applicable law, rule or regulation applicable to the Buyer which would have a material effect on the transactions contemplated herebyregulation.

The execution and delivery of this Agreement and the Registration Agreement, the consummation of the transactions transaction contemplated hereby and thereby and the fulfillment of the terms hereof and thereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any agreement or other instrument to which the Buyer is a party or by which it is bound, the Certificate of Formation and the Partnership Agreement, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Buyer is bound, or any law, rule or regulation applicable to the Buyer which would have a material effect on the transactions transaction contemplated hereby.
