Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transaction contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any agreement or other instrument to which the Seller is a party or by which it is bound, the certificate of formation and the partnership agreement of the Seller, any judgment, decree, order or award of any court, Governmental Authority or arbitrator by which the Seller is bound, or any Applicable Law.

The execution and delivery of this Agreement, the consummation of the transaction contemplated transactions hereby contemplated, and the fulfillment of the terms hereof hereof, will not result in a the breach of any of the terms term or provisions provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any agreement or other instrument of any description to which the Seller is a party or by which it Seller is bound, the certificate of formation and the partnership agreement of the Seller, or any judgment, decree, order order, or award of any court, Governmental Authority governmental body, or arbitrator by which the Seller is boundarbitrator, or any Applicable Lawlaw, rule, or regulation applicable to Seller.

The execution and delivery of this Agreement, the consummation of the transaction contemplated hereby transactions provided for herein and the fulfillment of the terms hereof by Buyers, will not result in a the breach of any of the terms or and provisions of, or constitute a default under, or conflict with, or cause any agreement acceleration of any obligation of Buyers under, any agreement, indenture or other instrument to which the Seller is a party or by which it either Buyer is bound, the certificate of formation and the partnership agreement of the Seller, any judgment, decree, order or award of any court, Governmental Authority governmental body or arbitrator by which the Seller is bound, or any Applicable Lawapplicable law, rule or regulation.
