Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement and the other Transaction Documents, the consummation of the transactions contemplated hereby, and the fulfillment of the terms hereof, will not result in the breach of any term or provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, agreement or other obligation of any description to which Buyer is a party or by which Buyer is bound, or any judgment, decree, order, or award of any court, governmental body or arbitrator, or any applicable law, rule or regulation.

The execution and delivery of this Agreement and the other Transaction DocumentsAgreement, the consummation of the transactions contemplated hereby, and the fulfillment of the terms hereof, will not violate any provision of the articles of incorporation or by-laws of Buyer nor will they result in the breach of any term or provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, agreement or other obligation of any description to which Buyer is a party or by which Buyer either of them is bound, or any judgment, decree, order, order or award of any court, governmental body or arbitrator, or any applicable law, rule or regulation.

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement and the other Transaction DocumentsAgreement, the consummation of the transactions contemplated hereby, hereby and the fulfillment of the terms hereof, hereof will not violate or result in the a breach of any term of the terms or provision provisions of, or constitute a default (or any event which, with notice or the passage of time, or both, would constitute a default) under, or conflict withwith or result in the termination of, or cause accelerate the acceleration of performance required by, (i) any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, agreement indenture or other obligation of any description instrument to which Parent or Buyer is a party or by which Buyer either of them is bound, (ii) the Certificate of Incorporation, Articles of Incorporation or Bylaws of Parent or Buyer, (iii) any judgment, decree, order, order or award of any court, governmental body or arbitratorarbitrator by which Parent or Buyer is bound, or (iv) any applicable law, rule or regulationregulation applicable to Parent or Buyer.

The execution and delivery of this Agreement and the other Transaction DocumentsOther Agreements, the consummation of the transactions contemplated herebyhereby and thereby, and the fulfillment of the terms hereof, hereof and thereof will not result in the a breach of any term of the terms or provision provisions of, or constitute a default under, or conflict with, or cause the acceleration of (a) any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, agreement commitment, permit, indenture or other obligation of any description instrument to which Buyer Shareholder is a party or by which Buyer is Shareholder or his, her or its assets or the Shares are bound, including but not limited to any trust agreement or any agreement or instrument related thereto, or (b) any law, statute or regulation or any judgment, decree, order, order or award of any court, governmental body or arbitrator, arbitrator to which Shareholder or any applicable lawof his, rule her or regulationits assets or the Shares are subject.
