Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions hereby contemplated, and the fulfillment of the terms hereof, will not result in the breach of any term or provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any agreement or other instrument of any description to which such Shareholder is a party or by which such Shareholder is bound, or any judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to such Shareholder.

The Neither the execution and delivery of this Agreement, nor the consummation of the transactions contemplated hereby contemplatedwill violate, and the fulfillment or result in a breach of, any of the terms hereof, will not result in the breach of any term or provision and provisions of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, with (i) any agreement or other instrument of any description to which such the Company or any Shareholder is a party or by which such Shareholder it is bound, ; (ii) the Articles of Incorporation or Bylaws of the Company; or (iii) any applicable judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to such the Company or any Shareholder.
